TERMS OF SERVICE AND USER AGREEMENT

Effective Date: June 30th, 2025

1. ACCEPTANCE AND BINDING NATURE

By accessing, browsing, or using metacenter.tv (the “Platform”), you unconditionally accept and agree to be legally bound by these Terms of Service (“Terms”). If you do not agree to all terms herein, you are expressly prohibited from using this Platform and must discontinue use immediately. Your continued use constitutes ongoing acceptance of any modifications to these Terms.

2. DEFINITIONS

“Company,” “we,” “us,” or “our” refers to MetaCenter.tv and its affiliates, subsidiaries, officers, directors, employees, agents, and assigns. “User,” “you,” or “your” refers to any individual or entity accessing the Platform. “Content” includes all media, text, comments, donations, and any materials transmitted through the Platform.

3. PLATFORM DESCRIPTION AND RESERVATION OF RIGHTS

MetaCenter.tv provides media streaming services, user commenting capabilities, subscription services, and donation processing. We reserve the absolute right to modify, suspend, discontinue, or restrict access to any or all Platform features at our sole discretion, without notice or liability.

4. USER OBLIGATIONS AND PROHIBITED CONDUCT

Users shall NOT:

• Violate any applicable laws, regulations, or third-party rights
• Upload, stream, or transmit any content that infringes intellectual property rights
• Engage in harassment, defamation, or threatening behavior
• Attempt to circumvent Platform security measures or access restrictions
• Use automated systems, bots, or scrapers without express written consent
• Interfere with Platform operations or other users’ experience
• Submit false information or impersonate others
• Engage in any commercial use without authorization

5. INTELLECTUAL PROPERTY PROTECTION

All Platform content, including but not limited to software, text, graphics, logos, videos, audio, and compilation thereof, is the exclusive property of MetaCenter.tv or its licensors. Users are granted a limited, non-exclusive, non-transferable, revocable license solely for personal, non-commercial Platform use. Any unauthorized use constitutes immediate license termination and potential legal action.

6. USER-GENERATED CONTENT

By submitting any content (comments, donations, etc.), you grant MetaCenter.tv a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, reproduce, modify, distribute, display, and create derivative works from such content. You represent and warrant that you own all rights to submitted content and that such content does not violate any third-party rights or applicable laws.

7. COMPREHENSIVE LIABILITY LIMITATION

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.

METACENTER.TV SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Lost profits, revenue, or business opportunities
• Data loss or corruption
• Service interruptions or technical failures
• User-generated content or third-party actions
• Any damages arising from Platform use or inability to use

OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE LESSER OF $100 OR AMOUNTS PAID BY USER IN THE PRECEDING 12 MONTHS.

8. INDEMNIFICATION

Users agree to defend, indemnify, and hold harmless MetaCenter.tv from any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) User’s Platform use; (b) User’s content submissions; (c) User’s violation of these Terms; (d) User’s violation of third-party rights; or (e) any negligent or wrongful conduct.

9. TERMINATION RIGHTS

We may immediately terminate or suspend user access without notice for any reason, including Terms violations. Upon termination, all user rights cease immediately, though our rights and user obligations survive termination.

10. PRIVACY AND DATA COLLECTION

We may collect, use, and share user data as described in our Privacy Policy, incorporated herein by reference. Users consent to all data practices described therein.

11. DISPUTE RESOLUTION AND JURISDICTION

MANDATORY ARBITRATION: All disputes shall be resolved through binding arbitration under Illinois Arbitration Rules, conducted in Oak Lawn, Illinois. Users waive rights to jury trial and class action participation.

GOVERNING LAW: These Terms are governed by Illinois law, excluding conflict of law principles.

JURISDICTION: Exclusive jurisdiction for any non-arbitrable matters lies with Illinois state and federal courts.

12. DONATION AND SUBSCRIPTION TERMS

All donations and subscription fees are non-refundable. We reserve rights to modify pricing, cancel subscriptions, or refuse donations at our discretion. Users acknowledge donations may not be tax-deductible unless explicitly stated.

13. DMCA COMPLIANCE

We comply with the Digital Millennium Copyright Act. Copyright infringement claims should be sent to legal@metacenter.tv. Repeat infringers will be terminated.

14. FORCE MAJEURE

MetaCenter.tv is not liable for any delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or other force majeure events.

15. SEVERABILITY AND SURVIVAL

If any provision is deemed unenforceable, remaining provisions remain in full effect. Sections 5-8 and 11-16 survive any termination.

16. MODIFICATIONS

We may modify these Terms at any time by posting updated terms. Continued Platform use constitutes acceptance of modifications. Users are responsible for reviewing Terms periodically.

17. ENTIRE AGREEMENT

These Terms constitute the complete agreement between parties, superseding all prior agreements and understandings.
